Payout Policy
How and when seller earnings are calculated, held and paid out.
1. Purpose and scope#
1.1 This Payout Policy ("Policy") explains how Fawran collects Proceeds from Buyers, deducts amounts owed, and remits the net balance to Sellers on the Fawran marketplace ("Platform"). It forms part of, and is incorporated into, the Seller Agreement, and operates together with the Commission & Fee Policies. Capitalised terms have the meaning in the Seller Agreement.
2. Collection of Proceeds#
2.1 The Seller appoints Fawran as its limited collection agent to receive Proceeds from Buyers on the Seller's behalf. Fawran, directly or through a licensed payment service provider operating in accordance with Central Bank of Jordan requirements, collects payments for the Seller's Items, including card, wallet, and Cash-on-Delivery payments.
2.2 Collection of Proceeds by Fawran discharges the Buyer's payment obligation to the Seller to the extent collected. The Seller's claim is to the net payout under this Policy, not to gross Proceeds.
3. Deductions and set-off#
3.1 From the Proceeds, Fawran deducts and may set off: Fees under the Commission & Fee Policies and other Seller Policies (referral/commission, fulfilment, shipping, storage, long-term storage, removal, return-processing, warranty, value-added-service charges, and penalties); refunds and chargebacks; amounts payable to Buyers under buyer-protection, returns, or warranty; applicable Tax on Fees; and any other amount the Seller owes under the Seller Agreement.
3.2 Fawran may set off amounts owed across Orders, payouts, and the Seller's reserve, and against any other amounts held. If amounts owed exceed amounts available, the Seller shall pay the shortfall on demand, and Fawran may recover it, including from future Proceeds.
3.3 Negative balance. Where deductions under clause 3.1 exceed the Seller's available balance, the Seller's account carries a negative balance equal to the shortfall. A negative balance is a debt due from the Seller to Fawran. Fawran will show the negative balance and its components in the Seller Portal. Fawran recovers a negative balance in the following order: (a) automatically from subsequent Proceeds as they accrue; (b) from the Seller's reserve; (c) by set-off against amounts payable to any other store linked to the same registered business identity under clause 4.7 of the Seller Agreement; and (d) by demand for direct settlement. While a negative balance is outstanding, Fawran may withhold payouts up to the outstanding amount and may restrict access to fulfilment models or features that would increase the exposure. Fawran will not treat a negative balance that arises solely from a refund, chargeback, or correction still under review as an unpaid debt while that review is open. A negative balance that remains unrecovered after the Seller's account is terminated remains due and may be pursued under clause 11.
4. Payout schedule and method#
4.1 Fawran remits the net payout to the Seller's verified bank account or approved payout method on the payout cycle made available to the Seller (for example, on a periodic settlement cycle), subject to verification, holds, and reserves under this Policy. The Seller is responsible for providing and maintaining accurate, verified payout details.
4.2 Payout timing may be affected by verification, risk review, public holidays, banking processing times, and the payment partner's processes. Minimum payout thresholds may apply and will be made available to the Seller.
5. Cash on Delivery#
5.1 For Cash-on-Delivery Orders, cash collected by Captains is reconciled and settled into the Seller's payout balance after deduction of Fees and amounts owed. Discrepancies, undelivered or refused COD Orders, and reconciliation adjustments are handled in accordance with this Policy and the Shipping & Fulfillment Policy.
6. Holds and reserves#
6.1 Fawran may place a hold on, delay, or reserve payouts, in whole or in part, where reasonably necessary, including where: an Order is pending delivery, return, or a claim window; there is a dispute, chargeback, or buyer-protection claim; fraud, abuse, or breach is suspected; verification is incomplete; or required by law.
6.2 Fawran may require the Seller to maintain a reserve—a held balance—calibrated to the Seller's risk profile, return and chargeback rates, claim exposure, and outstanding obligations, to cover refunds, chargebacks, claims, Fees, and liabilities. The reserve may be adjusted as risk changes and released when no longer required, in accordance with this Policy.
7. Refunds, chargebacks, and reversals#
7.1 Where a refund, chargeback, or reversal occurs, Fawran may debit the corresponding amount (plus applicable fees) from Proceeds, payouts, or the reserve, and recover any shortfall. The Seller is responsible for amounts refunded to Buyers in respect of its Items and for chargebacks attributable to it.
8. Verification, tax, and compliance#
8.1 Payouts are subject to the Seller's satisfactory identity and business verification (KYC/KYB), sanctions and anti-money-laundering screening, and provision of valid Tax and banking information. Fawran may withhold payouts where verification or compliance requirements are not met, or where required by law.
8.2 The Seller is responsible for its own Taxes on its sales. Fawran may withhold or report amounts where required by law.
9. Statements and records#
9.1 Fawran provides the Seller with statements or reports of Proceeds, Fees, deductions, refunds, and payouts through the Seller Portal. These electronic records constitute reliable evidence under the Electronic Transactions Law No. 15 of 2015, absent manifest error. The Seller shall review statements and raise discrepancies within the period stated in the Seller Portal.
10. Errors and adjustments#
10.1 Fawran may correct errors in collection, Fees, or payouts, and make consequent adjustments, including recovering overpayments and crediting underpayments. The Seller shall promptly notify Fawran of suspected errors.
11. Termination and final settlement#
11.1 On termination of the Seller Agreement, Fawran may withhold payouts and maintain a reserve for a period reasonably necessary to cover refunds, chargebacks, claims, Fees, and liabilities, after which the remaining balance (if any) is remitted to the Seller, subject to verification and applicable law.
12. Amendments, electronic acceptance, governing law, and disputes#
12.1 This Policy may be amended in accordance with the Seller Agreement; acceptance is electronic under the Electronic Transactions Law No. 15 of 2015; this Policy is governed by the laws of the Hashemite Kingdom of Jordan, with disputes resolved in accordance with the Seller Agreement.
